4.4 Representations: You represent that you own or have rights to your UGC and that it does not infringe on any third-party rights.

4.5 Right to Remove: We may, but are not obligated to, remove or modify any UGC for any reason.

All content, branding, logos, and technology provided by Cura Water Products Inc. are our property or licensed to us. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

6.1 Pricing and Availability: We reserve the right to modify prices or discontinue products at any time.

6.2 Order Acceptance: Receipt of your order does not guarantee acceptance; we may cancel orders for any reason.

6.3 Payment: You agree to pay all fees for products or subscriptions using authorized payment methods.

6.4 Subscriptions: Subscriptions may auto-renew unless canceled. You are responsible for managing renewals.

6.5 Shipping and Risk: Shipping times are estimates; risk of loss passes to you upon delivery.

To the fullest extent permitted by applicable law, Cura Water Products Inc., and its officers, directors, employees, affiliates, agents, contractors, interns, suppliers, service providers, and licensors (collectively, the “Cura Water Parties”) shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, arising out of or related to:

• Your access to or use of the Services or products;
• Any errors, omissions, or inaccuracies in content;
• Any UGC submitted, posted, or shared via our Services;
• Any interaction or transaction with third parties through our Services;
• Any breach of these Terms or applicable laws.

This limitation applies regardless of legal theory, whether in contract, tort (including negligence), strict liability, or otherwise, even if the Cura Water Parties have been advised of the possibility of such damages.

Because some jurisdictions do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law in such jurisdictions.

You agree to indemnify, defend, and hold harmless the Cura Water Parties from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:

• Your use of the Services or products;
• Any UGC you submit or share;
• Your violation of these Terms;
• Your violation of applicable laws or the rights of any third party.

You agree to cooperate fully in the defense of any claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

By providing your phone number, you consent to receive SMS or other messages from us. Standard messaging rates may apply. You may opt out at any time by following the instructions in the message.

We respect intellectual property rights. If you believe your work has been infringed, please submit a notice to our designated agent. We will respond in accordance with the Digital Millennium Copyright Act (DMCA).

13.1 Pre-Arbitration Notice: You agree to notify us of any dispute before pursuing legal action.

13.2 Binding Arbitration: Any dispute arising out of or relating to these Terms or your use of our Services will be resolved by binding arbitration under the rules of the ADR Institute of Canada (or another Canadian arbitration provider we choose).

13.3 Waiver of Class Actions: You waive any right to participate in class-action lawsuits or class-wide arbitration.

13.4 Governing Law: These Terms are governed by the laws of the Province of Alberta, Canada, and the federal laws of Canada as applicable, without regard to conflict of laws rules.

Severability: If a provision is invalid, the remainder will remain enforceable.

Waiver: The failure of Cura Water to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign these Terms without our consent.

Termination: We may suspend or terminate your access at our discretion.

Changes: We may update these Terms; the updated version will be posted with the effective date.
